These Terms and Conditions govern your use of the platform operated by Enhanced RYB Pty Ltd ("RYB", "we", "our", or "us"). By accessing or using the RYB website, platform, or any associated services, you agree to be bound by these Terms. If you do not agree with these Terms, you must not use the platform.

RYB operates a business-to-business connection platform designed to help companies and individuals discover opportunities and form contract-based relationships. RYB provides digital infrastructure that allows users to post contracts, discover opportunities, and communicate with potential partners. RYB does not create, negotiate, manage, enforce, or participate in any agreements formed between users. Any contract or business relationship entered into through the platform exists solely between the users involved. RYB does not guarantee the performance, legality, reliability, or outcome of any agreement formed through the platform. Users acknowledge that RYB is not a brokerage, legal service, financial institution, escrow provider, or dispute resolution authority and should conduct their own due diligence before entering into any agreement.

To use the platform, users must be at least eighteen years of age and have the legal capacity to enter into binding agreements. Users agree to provide accurate and truthful information when creating an account and when interacting with other users. You are solely responsible for all activity conducted under your account. RYB reserves the right to suspend or terminate accounts that provide false, misleading, or incomplete information, or that engage in unlawful, abusive, fraudulent, or harmful behaviour.

RYB may charge platform service fees in connection with certain features of the platform. By using the platform, you acknowledge and agree that a one-time platform fee of ninety-nine United States Dollars (USD $99) may be charged when a contract posted on the platform is formally accepted. Where a contract continues or renews beyond its original agreed term, a recurring platform fee of forty United States Dollars (USD $40) may apply for each renewal cycle. RYB may also offer optional promotion features including a boost service, which allows users to promote contracts or applications within the platform for a fee of twenty-one United States Dollars (USD $21). All platform fees are displayed during the relevant process and may be updated at RYB's discretion. Unless otherwise stated, all fees on the platform are charged in United States Dollars and relate solely to the use of the platform infrastructure.

Payments between contracting parties may be facilitated through third-party payment providers and escrow services. RYB does not process, hold, store, or control funds belonging to users. Where escrow services are used, they are provided entirely by independent third-party providers and are governed by the legal terms, policies, and dispute procedures of those providers. Any financial disputes, payment delays, chargebacks, or disagreements regarding funds must be resolved directly with the relevant payment or escrow provider. RYB does not participate in payment dispute resolution and accepts no liability for financial losses, payment disputes, non-payment, delayed payment, or contractual breaches arising between users.

Users are expected to conduct communication and negotiations within the RYB platform prior to the acceptance of a contract. Attempting to bypass the platform in order to avoid platform fees, conduct business privately, or establish off-platform arrangements before a contract has been formally accepted may be considered a violation of these Terms. RYB reserves the right to suspend, restrict, or permanently terminate accounts that attempt to circumvent platform processes or undermine the integrity of the platform.

Users agree to use the platform in compliance with all applicable laws and regulations. Users must not post, share, transmit, or distribute content that is unlawful, fraudulent, abusive, defamatory, misleading, discriminatory, sexually explicit, threatening, or otherwise harmful. Users must not misrepresent their identity, impersonate another person or business, post fraudulent opportunities, distribute spam, or attempt to manipulate the platform's systems. RYB reserves the right to remove any content or listing that violates these Terms or that, in our sole judgment, compromises the quality, safety, or integrity of the platform.

Users retain ownership of the contracts, content, and materials they upload to the platform. However, by submitting content to the platform, users grant RYB a worldwide, non-exclusive, royalty-free licence to store, display, reproduce, and use that content for the purposes of operating, improving, and promoting the platform. Users represent and warrant that they have the legal right to upload and share any content they submit.

All branding, design elements, text, software, code, and platform architecture associated with RYB are the intellectual property of Enhanced RYB Pty Ltd. Users may not copy, reproduce, distribute, modify, reverse engineer, or otherwise exploit any portion of the platform without prior written consent from RYB. Any attempt to access restricted areas of the platform, extract source code, or interfere with platform security measures may result in immediate termination of service and potential legal action.

To the fullest extent permitted by law, RYB shall not be liable for any direct, indirect, incidental, consequential, or punitive damages arising from the use of the platform. This includes but is not limited to financial losses, business interruption, failed contracts, missed opportunities, fraud committed by other users, or data loss. The platform is provided on an "as is" and "as available" basis, and RYB makes no warranties regarding the availability, reliability, accuracy, or suitability of the platform or its users.

Users agree to indemnify and hold harmless Enhanced RYB Pty Ltd, its directors, employees, affiliates, and partners from any claims, damages, liabilities, losses, or expenses arising out of or related to the user's use of the platform, breach of these Terms, violation of any law, or dispute with another user.

RYB reserves the right to suspend, restrict, or permanently terminate any account, listing, contract, or user activity at its sole discretion and without prior notice. Such actions may occur where we reasonably believe that a user has violated these Terms, engaged in fraudulent or harmful behaviour, attempted to circumvent platform safeguards, or created legal, financial, or reputational risk to RYB or its users. RYB is not obligated to disclose the details of any internal investigation or enforcement action.

RYB may introduce beta features, experimental services, or new platform functionality from time to time. Such features may be offered in a limited or testing capacity and may be modified, suspended, or removed at any time. Users acknowledge that beta features may not be fully reliable and agree to use them at their own risk.

In the event of disputes between users, RYB encourages both parties to attempt to resolve the matter privately or through the relevant payment or escrow provider, where applicable. While RYB may provide general guidance or support, RYB is not responsible for mediating disputes and has no obligation to intervene.

RYB may collect and process personal or business information in accordance with its Privacy Policy. By using the platform, users consent to the collection, storage, and processing of information necessary for operating the platform, preventing fraud, and improving services. RYB may use automated systems to monitor activity on the platform for purposes including fraud detection, spam prevention, and enforcement of these Terms.

RYB may request verification of users or businesses to maintain platform integrity. Verification procedures may include requesting identification documents, business registration records, or other information reasonably necessary to confirm identity or legitimacy. Failure to complete verification may result in limited platform access or account suspension.

RYB shall not be held liable for any delay or failure in performance caused by events beyond its reasonable control, including but not limited to acts of God, natural disasters, internet outages, labour disputes, government actions, cyber incidents, or global disruptions.

RYB may assign or transfer its rights and obligations under these Terms without restriction, including in connection with mergers, acquisitions, restructuring, or sale of assets. Users may not transfer their rights or obligations under these Terms without prior written consent from RYB.

If any provision of these Terms is found to be invalid or unenforceable under applicable law, the remaining provisions shall continue in full force and effect. Failure by RYB to enforce any provision of these Terms shall not be considered a waiver of that provision.

These Terms constitute the entire agreement between the user and RYB regarding the use of the platform and supersede any prior agreements or understandings. By continuing to use the platform, you confirm that you have read, understood, and agreed to these Terms.
